Welcome to Incipio, a performance management and strategic alignment platform operated by Incipio, LLC (“Incipio,” “we,” “our,” or “us”).
By accessing or using the platform, you agree to the following Terms and Conditions (“Terms”).
1. Access and Use
Access to Incipio is granted through an enterprise agreement or invitation. You must be authorized by your organization or Incipio directly to use the platform. All access is subject to these Terms and to the terms of the associated commercial contract between Incipio and your organization.
2. User Conduct
You agree to use the platform in accordance with applicable laws and refrain from:Interfering with or disrupting the operation of the platformAttempting to access accounts or data not explicitly granted to youUploading malicious code or violating data privacy of othersUsing the platform for competitive analysis or reverse engineering
3. Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately if you suspect any unauthorized use of your account.
4. Intellectual Property
All content, systems, methodologies, designs, and software on the platform are owned by Incipio or its licensors and protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you ownership rights or permission to replicate our platform or brand.
5. Data Rights
You retain ownership of the data you input into the platform. By using Incipio, you grant us a limited license to store, process, and analyze your data solely for the purpose of providing and improving the service.
6. Confidentiality
Both parties agree to maintain the confidentiality of all non-public business, technical, or financial information disclosed in connection with the use of the platform. This obligation survives termination.
7. Disclaimers
The platform is provided “as is” and “as available” without warranties of any kind. While we aim for uptime and accuracy, we do not guarantee that the platform will be uninterrupted, error-free, or fully secure at all times.
8. Limitation of Liability
To the fullest extent permitted by law, Incipio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues.9. TerminationWe reserve the right to suspend or terminate access if a user is found to be in violation of these Terms or if our contract with your organization ends.
10. Modifications
We may update these Terms periodically. We will notify you of material changes via email or in-app notification. Continued use of the platform constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws principles.
